Acroname Terms and conditions of sale

These Terms and Conditions of Sale (the “Terms”) are between you, the user of the Website and purchaser of the Acroname Products (“you” or “Buyer”), and Acroname Inc. (“Acroname”) and govern your online purchase and use of the products offered for sale on the Acroname website (https://acroname.com/) (the “Products”), as may be amended from time to time (the “Website”).By using our Website and/or purchasing a product or service from Acroname, you are agreeing to the following Terms. If you represent a company, you are agreeing that you have the authority to accept the Terms on your company's behalf. In that case, your business is agreeing to these Terms.
No other terms and conditions will apply to your purchase and use of the Products other than these Terms.
From time to time, in our sole discretion, we may make changes to these Terms. It is your responsibility to review them for updates or changes.

ACRONAME PRODUCT SPECIFIC WARRANTIES AND DISCLAIMERS
Solely with respect to Acroname branded Products manufactured by Acroname and purchased directly from Acroname through the Website, Acroname warrants the Products to be free from defects in material and workmanship for a period of 12 months from the date of shipment (the “Warranty Period”). The assessment of any defects in the Product is based solely on the item's data sheet with no regard to how the item functions or does not function within a customer designed or controlled system. We offer an option to purchase extended warranty periods, which are available on most Acroname products. For more information, contact sales@acroname.com.
Acroname products are not designed for use in any life support and/or safety equipment where failure to perform can reasonably be expected to result in personal injury or death. If you do use or sell products as a component of life support and/or safety applications you do so at your own risk and you agree to defend, indemnify and hold harmless Acroname, Inc. from any and all damages, claims, suits or expense resulting from such use or sale.
In the event of malfunction during the Warranty Period, attributable directly and exclusively to faulty workmanship and/or materials, Acroname may, in its sole discretion and as a sole remedy for such defect, repair or replace said Product(s) or components, to whatever extent it shall deem necessary to restore said Product to proper operating condition, provided that it is returned within the Warranty Period, with proof of purchase and description of malfunction, to a point designated by Acroname.

The foregoing Limited Warranty is the sole and exclusive warranty made or deemed made by or on behalf of Acroname, and Acroname makes no other warranties, in fact or by operation of law, statutory, express or implied.
WARRANTY EXCLUSIONS
Acroname’s limited warranty of the Products excludes the following (a) normal wear and tear; (b) accident, disaster or event of force majeure; (c) Buyer’s misuse, fault or negligence; (d) causes external to the Products such as, but not limited to, power failure or electrical power surges; (e) any Products not sold to Buyer directly by Acroname or any used Products; (f) installation, removal, use, maintenance, storage, or handling in an improper, inadequate, or unapproved manner by Buyer or any third party (excluding the carrier from Acroname to you), such as, but not limited to, failure to follow Acroname’s instructions or operating guidelines, or protocols, operation outside of stated environmental or use specifications, or operation or contact with unapproved software, materials, chemicals or other products; or (g) any Products or any parts manufactured in accordance with Buyer’s specifications provided to Acroname. ADDITIONALLY, ANY INSTALLATION, MAINTENANCE, REPAIR, SERVICE, RELOCATION OR ALTERATION TO OR OF, OR OTHER TAMPERING WITH, THE PRODUCTS PERFORMED BY ANY PERSON OR ENTITY OTHER THAN ACRONAME OR ACRONAME’S AUTHORIZED PERSONNEL WITHOUT ACRONAME’S PRIOR WRITTEN APPROVAL, OR ANY USE OF REPLACEMENT PARTS NOT PROVIDED BY ACRONAME, WILL IMMEDIATELY VOID AND CANCEL ALL WARRANTIES WITH RESPECT TO THE AFFECTED PRODUCTS. If Acroname determines that Products for which Buyer requested warranty services are not covered by the Limited Warranty, or if Acroname provides repair services or replacement parts that are not covered by this Limited Warranty, Buyer will pay or reimburse Acroname for all costs of investigating and responding to such request at Acroname’ then prevailing time and materials rates.

THIRD PARTY WARRANTIES AND DISCLAIMERS
We sell products that we make (Acroname manufactured) and we also sell products that are manufactured by third parties. If you're purchasing a product from us that is manufactured by a third party then you will need to refer to the manufacturer's warranty. It is your responsibility to check the manufacturer's website and other materials to make sure you understand any product specific warranties and disclaimers. Also check the bottom of this page for some specific third party manufacturer's warranties and disclaimers that we are aware of. We can't promise that we've covered all of them, and it remains your responsibility to review these third=party terms before you make a purchase.
Acroname does not support or make any warranties about products that are manufactured or supplied by third parties. Acroname will make reasonable commercial efforts to facilitate a warranty inquiry with a third party should you have problems with any of the products that you purchase on our Website.
LIMITED LIABILITY
EXCEPT FOR ANY APPLICABLE LIMITED WARRANTY DURING THE WARRANTY PERIOD, ALL PRODUCTS ARE (EXCEPT AS EXPRESSLY STATED BY US) PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ FOR YOUR USE, WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. IN NO CASE SHALL ACRONAME, OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIOAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND INCLUDING (BUT NOT LIMITED TO) LOST PROFITS, LOST REVENUES, LOST DATA, FINANCIAL LOSSES.
The total liability of Acroname, and its suppliers and distributor, for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us for the products and/or services that you purchased from us.
These liability terms will be enforced according to applicable law.
CHANGES AND DISCONTINUATION
Acroname reserves the right, in its sole discretion, to modify all descriptions and/or pricing of the Products at any time without notice, to assign these Terms to other third parties as well as to discontinue the sale of any Product at any time. Acroname shall not be liable to you or to any third-party for any modification, assignment, price change, suspension, or discontinuance of Products and/ or any other online offerings.
INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights evidenced by or embodied in and/or attached / connected / related to the Products or any part thereof are and shall be owned solely by Acroname.
The purchase and sale of the Products hereunder shall in no way be deemed to confer upon you any right, interest or license in any patents, patent applications, designs, copyrights, trademarks, service marks or trade names Acroname and its licensors may have covering the Products. Acroname and its licensors retain all intellectual property rights in and to the Products, including the sole right to manufacture such Products.
You shall not, and you hereby represent and warrant that you will not and will not permit or assist any other person or entity to modify, reverse engineer, reverse-compile, reverse assemble, synthesize or in any way use any Product(s) in a manner that deviates from their original purpose.
COMPLIANCE WITH LAWS AND REGULATORY RESTRICTIONS
The parties shall comply with all applicable laws, rules and regulations. Additionally, Buyer shall (a) only use the Products in accordance with Acroname’ instructions; and (b) obtain all necessary approvals and permissions Buyer may need; and (c) be solely responsible for ensuring that the Products are suitable for Buyer’s particular use.
ONLINE PLATFORM RESTRICTIONS
Acroname prohibits the listing, sale, and distribution of its Products and the displaying of any Acroname trademarks on any Online Platforms without Acroname’ express written consent. “Online Platform” shall mean any online sales channels. Buyer shall not offer or sell any Products on an Online Platform and shall not offer or sell to any person or entity who Buyer knows or should have reason to know is selling, listing, or attempting to sell, list or distribute Products on any Online Platforms, unless pre-approved in writing by Acroname.
INDEMNIFICATION
Buyer shall indemnify, defend and hold Acroname harmless from and against any and all suits, claims, actions, damages to person or property, liability and expense (including reasonable attorneys’ fees) arising from or related to Buyer’s unauthorized use of the Products, or not in accordance of the Product’s specifications, Acroname’s instructions and these Terms.
FORCE MAJEURE
Acroname shall not be liable hereunder for any failure or delay in the performance of its obligations under these Terms, if such failure or delay is on account of causes beyond its reasonable control, including civil unrest, war, fires, floods, accidents, earthquakes, inclement weather, telecommunications line failures, electrical outages, network failures, governmental regulations or controls, casualty, strikes or labor disputes, terrorism, pandemics, epidemics, local disease outbreaks, public health emergencies, communicable diseases, quarantines, or acts of God, in addition to any and all events, regardless of their dissimilarity to the foregoing, beyond the reasonable control of Acroname, for so long as such force majeure event is in effect and for a reasonable period thereafter. Acroname shall endeavor to provide Buyer with notice of the occurrence of such an event within five (5) business days of its occurrence.
ASSIGNMENT
Buyer may not assign these Terms, either in whole or in part, nor delegate any performance hereunder, without the express, written consent of Acroname, which consent shall be at Acroname’s sole and absolute discretion. Any assignment without such consent shall be null and void. Acroname may assign these Terms upon without any limitation.
ABOUT THESE TERMS
If any portion of these terms is deemed to be unlawful, void or unenforceable, then that portion shall be voided but all other portions of these terms will remain in full force and effect. These terms will be governed by the laws of the State of Colorado. If a dispute arises between you and Acroname, you agree to attempt to resolve the matter through mediation. If in good-faith mediation, the matter can not be resolved, you agree to attempt to solve the matter through arbitration in accordance with the rules of the American Arbitration Association. All parties shall initially share the cost of arbitration, but the prevailing party may be awarded attorney fees, costs and other expenses of arbitration. If the matter can not be resolved through arbitration, you agree that any and all claims will be litigated only in the federal or state courts of Boulder County, Colorado, USA.
If you do not abide by these terms and we don't take action right away, it does not mean that we are giving up our rights. We retain all of our rights including the right to take action on your non-compliance in the future. These terms, including but not limited to warranty terms, supersede all other terms including those in or attached to or otherwise referred by purchase orders, supplier agreement, or any other agreement related to purchases from Acroname Inc.
